3.2 Payment Terms

• Service fees are billed monthly
• Ad spend is billed separately from management fees
• Late payments may result in service suspension

4. Client Responsibilities

• Providing timely feedback and approvals
• Maintaining sufficient ad budget
• Ensuring website compliance with ad platforms
• Providing accurate business information

5. Intellectual Property

All materials, reports, and strategies created by RA Commerce remain our intellectual property. Clients receive a license to use these materials for their business purposes only.

6. Termination

Either party may terminate services with 30 days written notice. Upon termination:

• All outstanding payments become due immediately
• Access to managed accounts will be transferred
• Final reports will be provided

7. Limitation of Liability

RA Commerce's liability is limited to the amount paid for services in the previous 3 months. We are not liable for indirect, consequential, or special damages.

8. Confidentiality

We maintain strict confidentiality of all client information and require the same from our clients regarding our proprietary methods and strategies.

9. Governing Law

These terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of Sydney, Australia.

10. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
